Halter Controlled Canadian Capital Pool Company Completes $15 Million APO®

DALLAS – January 12, 2009 – Halter Financial Group is pleased to announce that on December 24, 2008, HFG Holdings Inc. (the “Company”), a Capital Pool Company organized under the laws of Alberta, Canada and controlled by a Halter Financial Group affiliate, completed an APO® transaction (the 'Transaction'). The Transaction resulted in the Company closing the acquisition of 59 net sections of Montney petroleum and natural gas rights located in Northeastern British Columbia and Northwestern Alberta and a tie-in commitment at Red Creek in addition to certain Montney wells and seismic access and interpretations pursuant to an acquisition agreement with Sabretooth Energy Ltd., an Alberta company, for aggregate consideration of CAD$31.3 million paid through the issuance of common shares of HFG. The Transaction constituted the Company’s Qualifying Transaction pursuant to the applicable policies of the TSX Venture Exchange.
Contemporaneously with closing of the Transaction, the Company completed a private placement of common shares for gross proceeds of approximately CAD$15.2 million (the 'Private Placement'). Dundee Securities Corporation, as lead agent, together with Tristone Capital Inc. and Research Capital Corporation acted as the agents for the Private Placement.
